• Commercial Exploitation: Reproducing, duplicating, copying, selling, reselling, or exploiting any portion of the Services for commercial purposes without our express written consent;
• Violation of Laws: Using the Site or Services in any manner that violates applicable federal, state, or local laws, including but not limited to the Computer Fraud and Abuse Act (18 U.S.C. § 1030) and the Electronic Communications Privacy Act.

4. Intellectual Property Rights

The Giordanos name, logo, brand identity, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its Content solely for your personal, non-commercial purposes in connection with using our Services. This license does not include the right to:

If we cancel an order after payment has been processed, we will issue a full refund using the original payment method.

5.4 Refund and Cancellation Policy

Due to the perishable nature of food products, all sales are generally final once an order has been prepared or dispatched. Refund requests will be evaluated on a case-by-case basis. We reserve the sole discretion to issue refunds, credits, or replacements as we deem appropriate under the circumstances.

5.5 Chargebacks

If you initiate a chargeback with your financial institution without first contacting us to resolve a dispute, we reserve the right to suspend or terminate your account and recover any amounts owed through lawful means. Fraudulent chargebacks may be reported to appropriate authorities.

6. Disclaimers

6.1 As-Is and As-Available Basis

Giordanos expressly disclaims all warranties, express or implied, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
• Warranties that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components;
• Warranties regarding the accuracy, completeness, or reliability of any content, information, or materials on the Site;
• Warranties that defects will be corrected or that the Site or the server that makes it available are free of viruses or other harmful components.

6.2 Food Allergen and Dietary Information

While we make reasonable efforts to provide accurate information regarding ingredients, allergens, and nutritional content, we cannot guarantee the complete accuracy of such information. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. Accordingly, some of the above limitations may not apply to you to the extent prohibited by applicable law. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

The limitations of liability set forth in this section shall apply regardless of the theory of liability, whether based in contract, tort (including negligence), strict liability, or otherwise, and whether or not Giordanos has been advised of the possibility of such damages, and notwithstanding any failure of essential purpose of any limited remedy stated herein.

8. Indemnification

You agree to defend, indemnify, hold harmless, and release Giordanos, its parent companies, subsidiaries, affiliates, officers, directors, partners, employees, contractors, agents, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees and court costs) arising out of or relating to:

• Your violation of these Terms or any applicable law or regulation;
• Your use of the Site or Services in a manner not authorized by these Terms;
• Your User Content or any content you submit, post, or transmit through the Site;
• Your violation of any third-party rights, including intellectual property rights or privacy rights;

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us. 9. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or related to these Terms, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States of America and the laws of the applicable state in which Giordanos operates, without regard to its conflict of law provisions.

To the extent that any lawsuit or court proceeding is permitted hereunder, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located within the applicable jurisdiction in the United States for the purpose of litigating all such disputes. Our Services are operated and managed from within the United States. We make no representation that the Site or Services are appropriate or available for use in locations outside the United States. If you access the Site from outside the United States, you do so at your own risk and are solely responsible for compliance with local laws.

These Terms are subject to compliance with all applicable federal laws, including but not limited to the Federal Trade Commission Act (15 U.S.C. § 41 et seq.) governing unfair or deceptive acts or practices, the Americans with Disabilities Act (ADA) to the extent applicable to online services, and applicable state consumer protection statutes.

10. Dispute Resolution

10.1 Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact us informally and in good faith to attempt to resolve the dispute by providing written notice to Giordanos at [email protected] describing the nature of the dispute, the relief sought, and your contact information. We will attempt to resolve the dispute informally within thirty (30) calendar days of receiving your notice. If we are unable to resolve the dispute informally within that period, either party may proceed to the formal dispute resolution procedures below.

10.2 Binding Arbitration

Except for disputes that qualify for small claims court and except as set forth below, any and all disputes, controversies, or claims arising out of or relating to these Terms, the Site, or the Services, or the breach, termination, enforcement, interpretation, or validity thereof, shall be resolved by binding individual arbitration administered by a recognized arbitration body in the United States in accordance with its applicable rules and procedures.

The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding on the parties. Judgment on the arbitration award may be entered in any court of competent jurisdiction. The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this agreement to arbitrate.

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or confidential information. Such a request shall not waive the right to arbitration under this section.

11. Term and Termination

These Terms shall remain in full force and effect for as long as you access or use the Site or Services. We reserve the right, in our sole and absolute discretion, to:

• Suspend or terminate your account and access to the Site and Services at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms;

Upon termination of your account or access rights:

• All rights and licenses granted to you under these Terms will immediately terminate;

• Any outstanding orders may be completed or cancelled at our discretion;
• Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, indemnification, limitations of liability, dispute resolution, and governing law.

No modifications to these Terms by you shall be valid or binding unless made in a written document signed by an authorized representative of Giordanos.

13. Severability

If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, void, unenforceable, or contrary to applicable law, such provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent to the greatest extent possible. If such modification is not possible, the offending provision shall be deemed severed from these Terms, and the remaining provisions shall continue in full force and effect as if the severed provision had never been included.

The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision of these Terms. The parties agree to negotiate in good faith to replace any invalid provision with a valid provision that, to the greatest extent possible, achieves the original intent of the parties.

14. Additional Legal Provisions

14.1 Entire Agreement

A waiver of any particular breach or default does not constitute a waiver of any subsequent breach or default.

14.3 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Any attempted assignment in violation of this provision shall be null and void. Giordanos may freely assign or transfer its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets. These Terms shall be binding upon and inure to the benefit of the parties and their respective permitted successors and assigns.

14.4 Force Majeure

Giordanos shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, natural disasters, epidemics, pandemics, wars, terrorism, riots, government actions, supply chain disruptions, utility failures, labor disputes, fire, flood, earthquake, or other circumstances beyond our reasonable control (each, a "Force Majeure Event"). In the event of a Force Majeure Event, our obligations shall be suspended for the duration of the event.

By using the Site or providing us with your email address, you consent to receive electronic communications from us, including notices, disclosures, agreements, and other information.
